1. Eligibility and Registration

By creating an account or using Gatherly, you represent and warrant that:

• You are at least 18 years of age.
• You have the legal capacity to form a binding contract under the laws of your jurisdiction.
• You will provide accurate, current, and complete information, specifically regarding your "Personality Vector" assessment and identity.
• Your use of the service does not violate any applicable law or regulation.

2. The Matching Service

Gatherly provides a platform that uses proprietary algorithms (utilizing metrics such as Haversine distance and Cosine similarity) to arrange social dining groups.

• No Guarantees: We do not guarantee that a match will be found within any specific timeframe or that any match will be "suitable" to your personal expectations.
• The 24-Hour Deferral: If your "Group Cohesion" score is below 0.75, the system may place you in a "Soft Deferral" state for up to 24 hours to wait for more compatible users.
• Service Modifications: We reserve the right to modify technical parameters or discontinue parts of the service for maintenance, security, or product improvements.

3. Right of Withdrawal (EEA/UK Consumers)

If you reside in the EEA or UK, you have the right to withdraw from this contract within 14 days without giving a reason.

• Exercise of Right: Contact us via an unequivocal statement at support@gatherly.app.
• Early Performance: By joining the matching queue before the end of the 14-day period, you expressly request the service begin immediately. You acknowledge that you lose your right of withdrawal once a match is successfully finalized (the MATCHED state).

4. User Conduct and Safety

• No Background Checks: Gatherly does not conduct criminal background checks or identity verification beyond basic service authentication.
• Offline Interactions: Gatherly facilitates introductions but does not organize the dinners or act as an agent for restaurants. You are solely responsible for your interactions. We strongly recommend meeting in public, staying with the group of five, and notifying a contact of your location.
• Prohibited Behavior: Harassment, stalking, "no-shows" without notice, or providing false data to "game" the algorithm is strictly prohibited and will result in immediate termination.

5. User Content and License

You remain the owner of the photos, text, and profile info you submit ("User Content").

• License Grant: You grant Gatherly a non-exclusive, royalty-free, worldwide license to host, store, and display your User Content strictly to operate and improve the service.
• Termination of License: This license ends when you delete your content or account, subject to technical backup cycles and existing match records.

6. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately at support@gatherly.app if you suspect a security breach.

7. Third-Party Services

Gatherly integrates with third-party providers (e.g., Google Maps, Mapbox, SMS gateways).

• Your use of these features is subject to their respective terms.
• We are not responsible for the accuracy of third-party restaurant data, ratings, or availability.

8. Prohibited Conduct

You agree not to:

• Use the service for scams, spam, or unauthorized commercial solicitation.
• Attempt to scrape data, reverse engineer the app, or bypass security measures.
• Collect or publish another user's personal data without authorization.

9. Limitation of Liability

To the fullest extent permitted by law:

• EU/UK Standard: Nothing in these Terms excludes liability for death or personal injury caused by our negligence, or for fraud.
• General Limitation: Gatherly is not liable for user conduct at physical events or restaurant service quality. Our total aggregate liability for technical failures is limited to the amount paid (if any) or €100 / $100 USD.
• Indirect Damages: We are not liable for indirect, incidental, or consequential losses (e.g., loss of profits or data).

10. Termination

• By You: You may stop using the service and delete your account at any time.
• By Us: We may suspend or terminate access if we reasonably believe you have violated these Terms, our Community Guidelines, or if your "Fairness" score suggests fraudulent activity.

11. Intellectual Property

All software, matching logic, branding, and trademarks are the exclusive property of Gatherly. You are granted a limited, revocable, non-transferable license for personal, non-commercial use of the app.

12. Governing Law and Jurisdiction

• Governing Law: These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules.
• Consumer Rights: Mandatory consumer protection laws in your country of residence remain unaffected.
• Jurisdiction: You may bring legal proceedings in the courts of London, England or in the courts of your place of residence.
